Alternatively, the law allows for the exclusion of a partner, ensuring the business&#8217;s viability and protecting the interests of the remaining partners.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Judicial Dissolution of a General Partnership<\/h2>\n\n\n\n<p>A <a href=\"https:\/\/pathlawfirm.gr\/en\/eteriko-emporiko\/\" target=\"_blank\" rel=\"noreferrer noopener\">general partnership<\/a> is dissolved in the following cases:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Upon the expiration of its duration<\/li>\n\n\n\n<li>By decision of the partners<\/li>\n\n\n\n<li>Upon its declaration of bankruptcy<\/li>\n\n\n\n<li>By court order upon a partner\u2019s request, provided there is a compelling reason (Article 259 of Law 4072\/2012).<\/li>\n<\/ul>\n\n\n\n<p>Given the objective of <strong>business continuity<\/strong>, which is a core principle of Law 4072\/2012, <strong>judicial dissolution is considered a last resort<\/strong>. Thus, the existence of a <strong>compelling reason<\/strong> is required for the court to grant dissolution. Therefore, dissolution is only permitted <strong>if no other resolution is possible<\/strong>.<\/p>\n\n\n\n<p>To further promote business continuity, the law also provides for the <strong>exclusion of a partner<\/strong> as an alternative measure.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Compelling Reasons for Dissolution<\/h2>\n\n\n\n<p>The <strong>existence of a compelling reason<\/strong> is assessed based on the circumstances and the overall organization of the partnership. The compelling reason must be of <strong>significant weight<\/strong>, having a <strong>major impact on the company\u2019s operations<\/strong>.<\/p>\n\n\n\n<p>It generally relates to the <strong>partnership\u2019s affairs<\/strong>, rather than the <strong>personal attributes of the partners<\/strong>, unless personal conflicts are so <strong>severe and persistent<\/strong> that they render the <strong>organization, financial stability, and operation of the business impossible<\/strong>, ultimately <strong>hindering the achievement of its purpose<\/strong>.<\/p>\n\n\n\n<p>Compelling reasons may include:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Poor financial performance and lack of profitability<\/li>\n\n\n\n<li>Breach of partnership obligations and mismanagement<\/li>\n\n\n\n<li>Continuous disputes and lack of cooperation<\/li>\n\n\n\n<li>Breakdown of trust among partners<\/li>\n<\/ul>\n\n\n\n<p>Such issues must also have <strong>economic consequences<\/strong>, leading either to <strong>operational paralysis<\/strong> or <strong>inability to fulfill the company&#8217;s purpose<\/strong> (Greek Supreme Court rulings: \u0391\u03a0 1313\/2024, \u0391\u03a0 1157\/2022, \u0391\u03a0 225\/2022, \u0391\u03a0 671\/2020, \u0391\u03a0 473\/2019, \u0391\u03a0 37\/2019, \u0391\u03a0 1085\/2018).<\/p>\n\n\n\n<p>The compelling reason must exist <strong>at the time the lawsuit is filed and during the court hearing<\/strong>.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Exclusion of a Partner in a General Partnership: Legal Framework and Conditions<\/h2>\n\n\n\n<p>The exclusion of a partner is a crucial legal measure aimed at ensuring <strong>the smooth operation of the business<\/strong> and <strong>protecting the remaining partners\u2019 interests<\/strong>. If a partner\u2019s conduct <strong>makes it difficult or impossible to continue the business<\/strong>, the other partners may file a <strong>court petition for exclusion<\/strong>, thereby preventing the dissolution of the company and ensuring its viability.<\/p>\n\n\n\n<p>If a partner\u2019s conduct would justify the <strong>dissolution of the partnership<\/strong>, the court may, at the request of the <strong>remaining partners<\/strong>, <strong>order the exclusion<\/strong> of that partner <strong>instead of dissolving the company<\/strong>. This safeguards both the business and the remaining partners.<\/p>\n\n\n\n<p><strong>Exclusion<\/strong> is a form of <strong>involuntary withdrawal<\/strong>, meaning that the affected partner is forced to leave against their will. A <strong>compelling reason<\/strong> is required, but <strong>the partner\u2019s fault is not necessarily a prerequisite<\/strong>.<\/p>\n\n\n\n<p>Additionally, for an exclusion request to be valid, <strong>continuing the business with the involved partner must be extremely burdensome<\/strong> for the other partners to the extent that it <strong>jeopardizes the company\u2019s operations or existence<\/strong> (Greek Supreme Court rulings: \u0391\u03a0 1313\/2024, \u0391\u03a0 225\/2022, \u0391\u03a0 671\/2020, \u0391\u03a0 473\/2019).<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><strong>Conditions for the Exclusion of a Partner<\/strong><\/h2>\n\n\n\n<h4 class=\"wp-block-heading\"><strong>Compelling Reason for Exclusion<\/strong><\/h4>\n\n\n\n<p>According to case law, compelling reasons for excluding a partner may include:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Poor financial performance and lack of profitability<\/li>\n\n\n\n<li>Breach of partnership obligations and mismanagement<\/li>\n\n\n\n<li>Continuous disputes, lack of cooperation, and breakdown of trust<\/li>\n<\/ul>\n\n\n\n<p>To be legally valid, the <strong>exclusion request must be submitted by all remaining partners<\/strong>.<\/p>\n\n\n\n<p>Additionally, the court considers several factors when deciding whether to grant or deny an exclusion request, including:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The nature of the <strong>compelling reason<\/strong>, especially if <strong>personal conflicts impact the company\u2019s operations<\/strong><\/li>\n\n\n\n<li><strong>The principle of proportionality<\/strong>, ensuring the exclusion is justified and not excessive<\/li>\n\n\n\n<li><strong>Balancing the interests<\/strong> of the applicant, the excluded partner, and the company<\/li>\n\n\n\n<li>The <strong>contribution and ownership stake<\/strong> of the partner being excluded<\/li>\n\n\n\n<li>If the <strong>applicant partner<\/strong> also has grounds for exclusion, the request may be denied<\/li>\n\n\n\n<li>The <strong>request must not be abusive or made in bad faith<\/strong><\/li>\n<\/ul>\n\n\n\n<p>This legal framework ensures that <strong>exclusion is used as a necessary and fair measure<\/strong> to protect the business and its remaining partners while preventing potential misuse.<\/p>\n\n\n\n<p><\/p>\n\n\n\n<p><em>Nothing in this publication shall be construed as legal advice.
