Business Litigation
Overview
Papatriantafyllou & Thanasenari represents Greek and international businesses and private clients, including shareholders and entrepreneurs, in business disputes in Greece. Based in Athens, we act before the Greek courts and in commercial arbitration, and handle related regulatory and criminal proceedings. We also represent clients in negotiations and settlement discussions.
Business disputes are rarely only legal. They affect a company’s operations, relationships and reputation, and often its future. We treat each dispute as a strategic matter, assessing the legal position and the commercial stakes from the outset and pursuing the course of action best suited to the client’s objectives.
Shareholder & Corporate Disputes
We act in disputes between shareholders, partners and management concerning corporate decisions, management powers and shareholder rights, including deadlocks in companies with equal shareholdings.
Our work includes challenges to general meeting and board resolutions, disputes over the conduct of management, applications for interim measures, and proceedings for the exclusion of a partner or the annulment of improper corporate acts.
Commercial Contract Disputes
We represent businesses and their executives in disputes with suppliers, customers and business partners arising from the breach or defective performance of contracts, unilateral termination, pricing and credit terms, and late payment.
Our experience extends to distribution and exclusivity arrangements, competition-related issues and complex, high-value commercial contracts, including those with a cross-border element.
M&A and Post-Acquisition Disputes
We act for investors, buyers, sellers and directors in disputes arising from mergers and acquisitions, including breaches of transaction documents, earn-out claims, the allocation of liability and indemnities, and claims based on misleading statements or the non-disclosure of material facts.
We represent clients before the Greek courts and in arbitration, with close attention to the commercial context of each transaction.
Financial Crime in Business Disputes
Business disputes sometimes involve criminal allegations, such as breach of trust, fraud, embezzlement, tax offences, forgery, money laundering or competition-related offences. We act on the criminal aspects alongside the related civil and commercial proceedings, so that the overall strategy remains consistent.
We defend directors, entrepreneurs and other private clients in criminal proceedings, from preliminary investigations through trial and appeal, including proceedings before the Supreme Court (Areios Pagos). We also represent businesses and private clients affected by alleged financial crime. See also our White-Collar Crime & Investigations practice.
Cross-Border Disputes
We act in disputes involving foreign companies, arbitration clauses, questions of international jurisdiction and corporate structures spanning more than one jurisdiction.
In these matters, decisions on timing, forum and litigation strategy are often decisive. We advise international clients on how proceedings in Greece interact with proceedings abroad and work alongside foreign counsel where needed.
