Corporate & Commercial
Overview
Papatriantafyllou & Thanasenari advises Greek and international businesses, investors and private clients on corporate and commercial law matters in Greece. Based in Athens, we assist clients with company formation and ongoing operations, commercial agreements and transactions, and the management of legal and regulatory risks.
Our advisory work is informed by our litigation practice. Understanding how commercial disputes arise and are resolved before the Greek courts enables us to identify potential risks at an early stage and structure arrangements with enforceability in mind. Our approach is practical and commercially focused: to prevent disputes wherever possible and support the sustainable operation of our clients’ businesses.
Corporate Matters
We advise on the formation, operation and restructuring of Greek companies, including sociétés anonymes (AE), limited liability companies (EPE), private companies (IKE), and general and limited partnerships (OE and EE). Our work covers articles of association, shareholders’ agreements, changes in management and share capital, and transfers of shares and corporate interests.
We also assist foreign investors in establishing or acquiring businesses in Greece, guiding them through the legal and practical steps involved.
Corporate Governance & Compliance
We advise boards, directors and shareholders on corporate governance, directors’ duties and liabilities, shareholder rights, general meeting and board procedures, and compliance with the applicable Greek regulatory framework.
Commercial Contracts
We draft, review and negotiate commercial agreements, including supply, distribution, agency, franchising and cooperation agreements. Particular attention is given to the allocation of contractual risks, termination and liability provisions, and dispute resolution clauses, including arbitration agreements.
Transactions
We advise buyers, sellers and investors on share and asset acquisitions and business transfers. Our work includes legal due diligence, transaction documentation and the allocation of contractual risk and liability between the parties.
Insolvency & Liquidation
We advise businesses facing financial difficulties on their options under the Greek insolvency framework, as well as on company dissolution and liquidation procedures. See also our Restructuring & Insolvency practice.
When a Dispute Arises
Where a dispute cannot be avoided, we represent clients in negotiations, before the Greek courts and in arbitration, drawing on our experience in business litigation and complex commercial disputes. See our Business Litigation practice.
